These Terms govern your use of BrownMind's website and, unless a signed client agreement says otherwise, our services.
Scope and Contract Order
BrownMind ("Company," "we," "our," or "us") provides AI-powered workflow automation, conversational AI, and software services. These Terms apply to your use of our website and to services we provide unless a signed proposal, statement of work, master services agreement, data processing agreement, or other written client contract overrides them for a specific engagement. If there is a conflict, the signed client contract controls.
Services and Marketing Materials
We specialize in AI-driven automation and software engineering, including but not limited to:
- AI workflow automation
- WhatsApp automation, voice AI, and RAG chatbots
- AI product development and SaaS engineering
- AI-powered call analysis and coaching
We may update or discontinue services at any time. Website copy, case studies, testimonials, benchmarks, screenshots, and examples are illustrative. They do not guarantee specific revenue, savings, conversion rates, lead volume, uptime, rankings, or other business outcomes for your business.
User and Client Responsibilities
By using our services, you agree to:
- Provide accurate and complete information
- Provide only data, content, prompts, credentials, and instructions that you are authorized to share with us
- Use our services legally, ethically, and in line with platform rules
- Review AI outputs, automations, and outbound communications before relying on them in live, regulated, or high-risk contexts
- Maintain any notices, consents, lawful bases, approvals, and human oversight required for your use case
- Not misuse AI tools for fraudulent or malicious purposes
- Not attempt to reverse-engineer or copy proprietary algorithms
Intellectual Property
BrownMind retains all rights in its pre-existing materials, reusable code, frameworks, prompts, templates, playbooks, internal tools, and know-how unless a separate client contract states otherwise. Ownership or license rights in client-specific deliverables are governed by the relevant client contract. Third-party software, open-source components, and client-owned data remain subject to their own terms and ownership rights.
Commercial Terms
For paid engagements:
- Payments are due as described in the applicable proposal, statement of work, invoice, or client contract
- Refund, acceptance, and support terms are governed by the applicable client contract; if none exists, completed work and time already spent are non-refundable unless we agree otherwise in writing
- Ongoing retainers or recurring engagements must be canceled in writing before the next billing cycle to avoid charges
- We may pause or suspend work for non-payment, abusive use, security risk, or failure to provide required client cooperation, approvals, or access
AI Limits, No Warranty, and No Professional Advice
To the maximum extent permitted by applicable law, our website and services are provided "as is" and "as available." AI systems can be inaccurate, incomplete, biased, delayed, or unpredictable. Our services also depend on third-party models, APIs, hosting, and client systems that we do not fully control.
- We do not warrant uninterrupted availability, error-free operation, or fitness for every use case
- AI-generated content, recommendations, or workflow actions may require verification before use
- Nothing on the website or in our services is legal, tax, financial, medical, employment, or other regulated professional advice
Outcomes, Compliance, and Client Oversight
Unless we expressly agree otherwise in signed writing, BrownMind does not guarantee specific business outcomes, earnings, savings, conversion rates, rankings, compliance results, or other commercial performance. Even where BrownMind operates, monitors, or optimizes a workflow on your behalf, you remain responsible for final business decisions, source-data accuracy, required notices and consents, regulatory compliance, platform-policy compliance, approval thresholds, and appropriate human oversight for sensitive or high-risk use cases.
Limitation of Liability
To the maximum extent permitted by law, BrownMind will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, expected savings, data, or reputation arising from or related to the website or services.
To the maximum extent permitted by law, BrownMind's aggregate liability arising out of or related to the services will not exceed the fees paid to BrownMind for the specific services giving rise to the claim during the three months immediately preceding the event giving rise to liability. For website-only use with no paid engagement, BrownMind's aggregate liability will not exceed USD 100. Nothing in these Terms excludes liability that cannot be excluded by applicable law, including liability for fraud or willful misconduct.
Indemnity
You agree to defend, indemnify, and hold harmless BrownMind and its personnel from third-party claims, liabilities, damages, losses, and reasonable costs arising out of or related to your data, your instructions, your misuse of the website or services, your breach of these Terms, or your failure to obtain required rights, consents, notices, or approvals.
Privacy Policy and Project Data
Your use of our services is also governed by our Privacy Policy. For client projects involving personal data, the allocation of controller, processor, security, and deletion obligations may also be addressed in a separate client contract or data processing agreement.
Suspension and Termination
We reserve the right to suspend or terminate your access if:
- You violate these Terms
- You engage in fraudulent or harmful activities
- We discontinue a service or tool
- You fail to make required payments or provide required cooperation
Dispute Resolution
Before filing formal legal action, the parties will try in good faith to resolve disputes through discussion. Any disputes that are not resolved informally shall be governed by the laws of India and fall under the exclusive jurisdiction of the courts in Jaipur, Rajasthan, India, unless a signed client contract says otherwise.
Changes to Terms
We may update these Terms at any time. Changes will be communicated via our website or email. Continued use of our services after updates constitutes acceptance of the revised Terms.
